10. Other Guidelines
This agreement and any dispute or claim arising out of or in connec-
tion with it or its subject matter shall be governed by and construed
in accordance with the laws of the State of Utah. The parties irrevo-
cably agree that the courts of Utah shall have exclusive jurisdiction
to settle any dispute or claim that arises out of or in connection with
this agreement or its subject matter.
If any provision of this agreement shall be found by any court or
administrative body of competent jurisdiction to be invalid or unen-
forceable, such invalidity or unenforceable shall not affect the other
provisions of this Agreement which shall remain in full force and
effect.
This agreement constitutes the whole agreement between the
parties and supersedes all previous agreements between the parties
relating to its subject matter.
Each party acknowledges that, in entering into this agreement, it
has not relied on, and shall have no right or remedy in respect of,
any statement, representation, assurance or warranty (whether
made negligently or innocently) other than as expressly set out in
this agreement. The Purchaser has read and agrees to the terms of
this agreement. The Purchaser agrees that by accepting, he/she is
accepting the totality of this contract and he/she accepts all docu-
ments, policies, rules and terms approved of The Company.
