4.8 WheretheWorksaretobesuppliedfromstocksuchsupplyissubjecttotheavailabilityof

thestockatthedateofdelivery.

4.9 OndeliverytotheCustomerallWorksshouldbeexamined.Rettigwillnotbeliableforany

shortagesinornon-deliveryoftheWorks(evenifcausedbyRettig’snegligence)unlessthe
sameisnotifiedinwritingbytheCustomertoRettig(togetherwithallrelevantdetails)
within3daysoftheactualoranticipateddateofdelivery(asappropriate).Subjecttosuch
noticebeingprovidedRettigwill,ifitisreasonablysatisfiedthatanyWorkshavenotbeen
deliveredasaresultofRettig’sfault(initssolediscretion)eitherarrangeforredeliveryas
soonasreasonablypossibleorgivecredit(attheprorataContractprice)totheCustomer
forsuchWorks.Anyshortagesinornon-deliveryofpartoftheWorkswillnotaffectthe
ContractinrespectoftheotherpartsoftheWorks.

4.10IfRettigcomplieswithclause4.9itwill(subjecttoclause8.2)havenofurtherliability(in

contract,tortordelict(includingbutnotlimitedtonegligence)orotherwise)forsuch
shortagesornondelivery.

4.11WhilstRettigwillusereasonableendeavourstosupplytheexactquantityoftheWorks

orderedbytheCustomerallquantitiesareapproximateonlyandRettigmaysupplyand
theCustomerwillacceptmoreorlessthantheexactquantityorderedwheresuch
varianceiswithinreasonablelimits.AproratachargeorallowanceattheContractprice
willbemadetocoveranysuchvariation.

4.12TheCustomer(atitsownexpense)willensurethattheplacewheredeliveryoftheGoods

orperformanceoftheServicesistotakeplaceisadequateandappropriateforsuch
deliveryorperformanceandwillprovidesuchaccess,assistance,equipment,facilities,
protection,manuallabourandinformationasmayberequiredtoenableRettigtoperform
itsobligationsunderthisContractandanyrelevantstatutoryobligations.

RISKANDOWNERSHIP

5.1 (Unlessotherwiseagreedinwriting)theGoodsareattheriskoftheCustomerfromthetime

ofdeliveryordeemeddeliveryofsuchGoodstotheCustomer(asappropriate)orpaymentof
thepriceforsuchGoodsinaccordancewiththeseConditions(whicheveristhesooner)and
loading(underclause4.4)andoffloading(underclause4.3)willbeattheCustomer’srisk.

5.2 (NotwithstandingthatriskintheGoodswillpasstotheCustomerinaccordancewiththe

provisionsofclause5.1)ownershipoftheGoods(bothlegalandequitable)willremain
withRettig(unlessownershipisproperlyvestedinsomeotherpersonbytheoperationof
anystatute)untilRettighasreceivedinfull(incashorclearedfunds):

(a) allsumsdueinrespectoftheGoods;and
(b) allothersumswhichareorwhichbecomeduetoRettigfromtheCustomeronanyaccount.
5.3 UntilownershipoftheGoodshaspassedtotheCustomerunderclause5.2,theCustomerwill:
(a) holdtheGoodsonafiduciarybasisasRettig’sbaileeandtrustee;
(b) keeptheGoodsfreefromanycharge,lienorotherencumbrance;
(c) storetheGoods(atnocosttoRettig)separatelyfromallothergoodsormaterialsofthe

CustomeroranythirdpartyinsuchawaythattheyremainreadilyidentifiableasRettig’s
propertyandeasilyaccessibletoRettig;

(d) allowRettigaccessatanyreasonabletimetoenableRettigtoverifythattheCustomerhas

compliedwithitsobligationsunderclause5.3(c)above;(e)notdestroy,defaceorobscure
anyidentifyingmarkontheGoodsortheirpackaging;

(f) maintaintheGoodsinasatisfactorycondition,insuredonRettig’sbehalffortheirfullprice

againstallusualriskstothereasonablesatisfactionofRettigandonrequestproducesuch
policyofinsurancetoRettig;

(g) holdallproceedsoftheinsurancereferredtoinclause5.3(f)ontrustforRettigandnot

mixitwithanyothermoneyorpaytheproceedsintoanyoverdrawnbankaccount;and

(h) notincorporate,attachorannextheGoodstoanyrealpropertywithoutRettig’sprior

writtenconsent.

5.4 TheCustomermayresell,useorotherwisedisposeoftheGoodsbeforeownershiphas

passedtoitonlyifanysuchsale,useordisposition:

(a) willbeeffectedintheordinarycourseoftheCustomer’sbusinessinanarmslength

transaction;and

(b) willbeasale,useordispositionontheCustomersownbehalfandtheCustomerwilldeal

asprincipalwhenmarkingsuchsale,useordisposition.

5.5 Oncepaymentbecomesoverdue,RettigmaywhiletheowneroftheGoods(without

prejudicetoitsotherrights)demandtheimmediatereturnoftheGoodsatanytimeand
theCustomermustcomplywith(andbearthecostof)suchdemandimmediately.Ifthe
CustomerfailstoreturnsuchGoods,Rettigoritssuccessorsintitle,andtheirrespective
employeesandagents,mayentertheCustomer’spremises(withorwithoutvehicles)to
removetheGoods(thecostofwhichshallbebornebytheCustomer)and/ormaysellor
otherwisedealwiththeGoods.

5.6 RettigwillbeentitledtorecoverpaymentfortheGoodsnotwithstandingthatownership

ofanyoftheGoodshasnotpassedfromRettig.
